Terms and Conditions.

Effective 2026. These terms govern your access to and use of SPLIYT, operated by BrikTok Inc.

Introduction

These Terms and Conditions (“Terms”) govern your access to and use of SPLIYT, operated by BrikTok Inc. (“SPLIYT,” “we,” “us,” or “our”). By creating an account or using the platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.

Agreement Structure

Definitions

“Platform” means the SPLIYT web application, mobile applications, APIs, and all related services.

“User” means any individual or entity that accesses or uses the Platform.

“Co-Owner” means a User who holds a Co-ownership interest in an Asset managed through the Platform.

“Asset” means any real or personal property (including but not limited to real estate, vehicles, aircraft, watercraft, and horses) managed through the Platform.

“Co-Ownership Agreement” means the legally binding agreement executed between Co-Owners governing their shared ownership of an Asset.

“Access Schedule Marketplace” means SPLIYT's peer-to-peer feature enabling the transfer, exchange, or listing of scheduled access time among Co-Owners and approved third parties.

“Subscription” means the paid or free service plan selected by the User.

Account Registration and Eligibility

2.1You must be at least 18 years of age and legally capable of entering into binding contracts to use the Platform.

2.2You agree to provide accurate, complete, and current information during registration and to keep your account information updated.

2.3You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at security@spliyt.com of any unauthorized access to your account.

2.4SPLIYT reserves the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent activity.

Platform Services

3.1Software Only. SPLIYT is a software platform that facilitates co-ownership management. SPLIYT is not a real estate broker, financial advisor, legal advisor, insurance provider, or asset management company. Nothing on the Platform constitutes legal, financial, tax, or investment advice.

3.2Co-Ownership Agreements. SPLIYT provides agreement templates as a convenience. These templates are not a substitute for advice from a licensed attorney. Co-Owners are solely responsible for ensuring their Co-Ownership Agreement is legally valid and enforceable in their jurisdiction. SPLIYT is not a party to any Co-Ownership Agreement.

3.3Access Schedule Marketplace. SPLIYT facilitates the peer-to-peer transfer of access time between Co-Owners and, where permitted, third parties. SPLIYT does not guarantee the availability of any access slot and is not responsible for disputes arising from marketplace transactions between users.

3.4On-Demand Asset Services. SPLIYT connects users with third-party service providers. SPLIYT does not employ, supervise, or warrant the work of any third-party vendor. Service quality disputes are between the user and the vendor.

Subscriptions and Payment

4.1Free Plan. The Starter plan is free of charge and subject to usage limits as posted on the pricing page. SPLIYT may modify free plan limits with 30 days' notice.

4.2Paid Subscriptions. Pro and Enterprise subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law or as expressly stated herein.

4.3Price Changes. SPLIYT may change subscription prices with at least 30 days' written notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

4.4You are responsible for all applicable taxes on subscription fees. SPLIYT will add sales tax where required by law.

4.5No Revenue Share. SPLIYT does not charge a percentage of asset value, co-owner payments, or Access Schedule Marketplace transactions. SPLIYT's fees are limited to subscription charges only.

User Responsibilities and Acceptable Use

5.1You agree to use the Platform only for lawful purposes and in accordance with these Terms.

5.2You agree not to: (a) use the Platform to facilitate illegal transactions or activities; (b) upload false, misleading, or fraudulent information; (c) attempt to gain unauthorized access to any part of the Platform or other users' accounts; (d) reverse engineer, decompile, or disassemble any part of the Platform; (e) use the Platform to harass, abuse, or harm other users; (f) use automated tools, bots, or scrapers to access or extract data from the Platform without our written consent.

5.3You are solely responsible for all content you submit to the Platform, including asset documentation, financial records, and communications with co-owners.

Co-Ownership Disputes

6.1SPLIYT provides governance and communication tools to help co-owners resolve disagreements but is not a mediator, arbitrator, or dispute resolution service.

6.2SPLIYT is not liable for any disputes between Co-Owners, including disputes regarding the interpretation or enforcement of Co-Ownership Agreements, access scheduling conflicts, or cost allocation disagreements.

6.3Co-Owners are encouraged to include dispute resolution provisions in their Co-Ownership Agreement and to seek legal counsel when disputes arise.

Intellectual Property

7.1The Platform, including all software, design, trademarks, logos, and content created by SPLIYT, is owned by BrikTok Inc. and protected by US and international intellectual property laws.

7.2You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose during your active subscription.

7.3You retain ownership of all data and content you upload to the Platform. By uploading content, you grant SPLIYT a limited license to store, process, and display that content solely to provide the Platform's services to you.

Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

Third-Party Services and Integrations

The Platform may integrate with third-party services (including payment processors, e-signature providers, video conferencing tools, and property management systems). Your use of such third-party services is subject to their own terms and privacy policies. SPLIYT is not responsible for the availability, accuracy, or conduct of any third-party service.

Disclaimers and Limitation of Liability

10.1As-Is Basis. The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2No Guarantee of Uptime. While SPLIYT targets 99.9% uptime, we do not guarantee uninterrupted or error-free access to the Platform.

10.3Limitation of Liability. To the fullest extent permitted by applicable law, SPLIYT's total cumulative liability to you for any claims arising out of or related to these Terms or the Platform shall not exceed the greater of (a) the total fees paid by you to SPLIYT in the 12 months preceding the claim, or (b) $100 USD.

10.4Exclusion of Consequential Damages. In no event shall SPLIYT be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, or goodwill, arising out of your use of or inability to use the Platform.

Indemnification

You agree to indemnify, defend, and hold harmless SPLIYT, BrikTok Inc., and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any dispute between you and another co-owner or third party.

Termination

12.1You may terminate your account at any time through your account settings. Termination does not entitle you to a refund of any prepaid subscription fees.

12.2SPLIYT may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law.

12.3Upon termination, your right to access the Platform ceases. SPLIYT will retain your data for 90 days following termination, after which it may be deleted. You may export your data during this period.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in English in the State of Delaware. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Changes to These Terms

SPLIYT reserves the right to update these Terms at any time. We will provide notice of material changes via email or a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

Cancellation & Refund Policy

15.1Subscription Cancellations: You may cancel your SPLIYT subscription at any time. Cancellations take effect at the end of the current billing cycle — you retain full access until then. No refunds are issued for partial billing periods.

15.2Access Booking Cancellations: Cancellation terms for individual asset bookings are governed by the rules set by your ownership group and asset manager.

15.3Expense Contributions: Shared expense contributions (maintenance, insurance, utilities) are non-refundable once disbursed to the expense pool. If an expense is cancelled before disbursement, contributions are returned proportionally to all co-owners.

15.4Platform Errors & Disputes: If a booking is cancelled due to a platform error, system outage, or asset unavailability caused by SPLIYT, affected users will receive a full slot credit and priority rebooking assistance.

15.5Refund Processing: Approved refunds or credits are processed within 7–10 business days to the original payment method.
